Cancellation, Rejections and Refund Policy For Primary Offerings

For investments in Regulation Crowdfunding offerings , investors are able to cancel at any point throughout the offering up until 48 hours before an issuer conducts an early rolling closing or, if there is not early closing, you will be able to cancel your investment up until 48 hours before the closing of the offering. You will receive prior written notice of an early rolling closing.

The issuer may cancel the investment commitment under the following circumstances:

For any offering that has not yet been completed or terminated, an issuer can file on Form C/A an amendment to its offering statement to disclose changes, additions or updates to information. An amendment is required for changes, additions or updates that are material, and in those required instances the issuer must reconfirm outstanding investment commitments within 5 business days, or the investor’s commitment will be considered canceled. If we are required to cancel the investment commitment, it must then send a notice of the cancellation to the investor and direct a refusal of the investor’s funds.
Offering fails to reach the target by the specified deadline. If an issuer does not raise the target funds by the deadline it established, we have five days to provide investors with notice of the cancellation of the investment commitment, direct the refund of investor funds, and prevent investors from committing any additional funds to the offering.

You are typically not permitted to cancel an investment in a Regulation A or Regulation D offering; however, certain issuers may permit cancellations as specified in their offering materials. An issuer’s right to cancel will be set forth in offering materials.

In all cases, an issuer can cancel an investment commitment at its discretion.

Following a cancellation or rejection, tZERO Securities will promptly return your invested fund. tZERO Securities will initiate your refund within one business day of receiving a valid cancellation request, however all refunds are subject to processing time of banks and third party processors, which is out of our control. If you invested via wire transfer, you will receive your refund within 1-2 business days. If you invested via ACH, you will receive your refund in 3 to 5 business days, subject to your funds having been seasoned under tZERO Securities’ policies and procedures. If you invested via credited card, you will receive your refund in 3 to 5 business days.
